These Terms & Conditions ("Terms") govern your access to and use of the Azzore Retailer mobile application (the "App"), operated by AZZORE CREATIONS ("we", "us", or "our") for the Azzore stationery brand. The App is a business-to-business (B2B) wholesale ordering platform intended for authorised retailers and business customers ("you").

By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Eligibility & Accounts

• The App is intended for authorised retailers and business customers. By using it, you represent that you are placing orders for business purposes and are authorised to do so.
• You must provide accurate, current, and complete information when creating your account and keep it updated.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• Notify us promptly of any unauthorised use of your account.

2. Use of the App

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the App for its intended business ordering purpose. You agree to use the App only in compliance with these Terms and applicable laws.

3. Orders & Acceptance

• Orders placed through the App are offers to purchase and are subject to acceptance by us or the brand owner.
• We may accept or decline any order at our discretion, including where products are unavailable, where there is an error in pricing or product information, or where we suspect fraud or misuse.
• Order status updates are provided within the App and via notifications, email, and WhatsApp. Estimated timelines are indicative and not guaranteed.

4. Pricing & Taxes

• Prices, discounts, and offers shown in the App are wholesale/retailer prices and may change without prior notice.
• While we strive for accuracy, pricing or product errors may occur; we reserve the right to correct them and to cancel affected orders.
• Prices may be exclusive of applicable taxes, delivery charges, or other fees, which will be reflected at checkout where applicable. You are responsible for any taxes arising from your purchases as required by law.

5. Payment Terms (COD & Credit)

• The App currently supports Cash on Delivery (COD) and, where offered to you, credit terms. Online payment gateways are not part of the current version.
• For COD orders, payment is due at the time of delivery in the amount shown for the order.
• Where credit terms are extended, payment is due within the period stated for the order. Late or unpaid amounts may result in suspension of credit facilities or account access, and we reserve all rights to recover outstanding amounts.
• Any COD discount or credit terms are provided at our discretion and may be changed or withdrawn.

6. Delivery & Location

• When you place an order, the App captures your device's GPS location to identify the delivery address, as described in our Privacy Policy.
• You are responsible for providing an accurate delivery address and for ensuring someone is available to receive and pay for (in the case of COD) the order.
• Delivery timelines are estimates and may vary. We are not liable for delays outside our reasonable control.

7. Cancellations & Returns

• You may request cancellation of an order before it is dispatched, subject to its current status. Once an order is out for delivery or delivered, cancellation may not be possible.
• Returns, replacements, or refunds (where applicable) are handled in accordance with the arrangements between you and the brand owner. Contact us for assistance with any issue relating to an order.

8. Product Information & Catalogue

Product descriptions, images, specifications, and catalogue materials are provided for general information and may contain inaccuracies or be updated over time. Colours and appearances may vary from images. The catalogue and content are for your business use in connection with ordering and may not be redistributed without permission.

9. Advertising

The App may display advertisements, including through Google AdMob. Advertisements are provided by third parties, and we are not responsible for the content of, or any products or services offered in, third-party ads. Your interactions with advertisers are solely between you and the advertiser.

10. Prohibited Conduct

You agree not to:

• Use the App for any unlawful, fraudulent, or unauthorised purpose;
• Resell, misrepresent, or misuse products, pricing, or account access;
• Interfere with or disrupt the App, its servers, or its security;
• Attempt to gain unauthorised access to any part of the App or other users' accounts;
• Reverse-engineer, copy, or create derivative works of the App except as permitted by law;
• Upload or transmit malicious code or misuse any communication channels.

11. Intellectual Property

The App, including its software, design, logos, trademarks (including "Azzore" and "AZZORE CREATIONS"), text, graphics, and content, is owned by or licensed to us and is protected by intellectual-property laws. Except for the limited licence granted in these Terms, no rights are transferred to you. You may not use our trademarks or content without our prior written consent.

12. Third-Party Services

The App uses third-party services (including Google Firebase, Google AdMob, Google Maps, and WhatsApp Business). Your use of features powered by these services may also be subject to their respective terms and policies. We are not responsible for third-party services or their availability.

13. Disclaimers

The App is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, secure, or free of harmful components, or that any content is accurate or reliable.

14. Limitation of Liability

To the maximum extent permitted by law, AZZORE CREATIONS and its affiliates, and their respective officers, employees, and partners, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the App. To the extent any liability cannot be excluded, our total aggregate liability shall be limited to the greater of the amount you paid for the relevant order or the amount permitted by applicable law.

15. Indemnification

You agree to indemnify and hold harmless AZZORE CREATIONS and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the App, your violation of these Terms, or your violation of any rights of a third party or applicable law.

16. Suspension & Termination

We may suspend or terminate your access to the App at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or harmful conduct, or for operational or legal reasons. You may stop using the App at any time and may request account deletion as described in our Privacy Policy. Provisions that by their nature should survive termination will survive.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles. Subject to applicable law, the courts having jurisdiction in India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the App.

18. Changes to These Terms

We may modify these Terms from time to time. When we do, we will update the "Last updated" date above and, where appropriate, provide notice within the App. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.
